These Terms of Service (the "Terms") govern your access to and use of the Toritask website, platform, products, and related services (collectively, the "Platform"). The Platform is operated by Bolojar Technologies trading as Toritask

By creating an account, clicking "I agree", submitting a campaign, completing a task, receiving a reward, or otherwise using the Platform, you agree to these Terms and any policies referenced in them. If you do not agree, do not use Toritask.

1. Key Definitions

• Creator: a user who creates, funds, or manages a campaign on Toritask.
• Earner: a user who voluntarily chooses to complete available tasks in exchange for potential rewards.
• Campaign: a promotional instruction, offer, or task request published by a creator through Toritask.
• Task: a specific action that an earner may choose to perform, such as liking, commenting, following, sharing, posting, testing, answering a survey, or submitting proof.
• Reward: the amount displayed to an earner for an approved task, subject to review, verification, fees, reversals, and these Terms.
• Proof: screenshots, links, text, files, metadata, or other evidence submitted to show that a task was completed.
• User Content: campaign materials, task instructions, text, images, videos, screenshots, links, comments, proof, profile information, and any other content submitted by users.

2. What Toritask Is

Toritask is an online technology marketplace that helps creators publish promotional campaigns and helps independent users discover tasks they may voluntarily complete for rewards.

Toritask provides tools for campaign creation, task discovery, proof submission, verification, moderation, payment facilitation, and reward distribution. Toritask does not create, own, perform, supervise, direct, or guarantee the tasks or campaigns created by users.

Toritask is not responsible for the accuracy, legality, safety, quality, suitability, or outcomes of campaigns, tasks, products, services, or content published by users

Toritask is not a social media platform, advertising agency, talent agency, bank, savings platform, investment platform, payment institution, escrow provider, employer, contractor, agent, broker, or guarantor of any user.

3. Eligibility

You may use Toritask only if you are at least 18 years old and legally capable of entering into a binding agreement under applicable law.

By creating an account or using the Platform, you represent and warrant that you are at least 18 years of age and that the information you provide is true, accurate, current, and complete.

We may suspend or terminate any account if we reasonably believe the user does not meet these eligibility requirements.

4. Account Registration and Security

You may need an account to create campaigns, complete tasks, submit proof, or receive rewards. You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your account.

• You must not create fake accounts, duplicate accounts, or accounts using another person's identity.
• You must not sell, rent, transfer, or share your account without our written permission.
• You must promptly update your account information if it changes.
• We may require identity, phone, email, social media, payout, or anti-fraud verification before approving campaigns, tasks, or payouts.

Toritask accounts are personal to the registered user. Accounts have no monetary value and may not be bought, sold, inherited, transferred, pledged as security, or otherwise disposed of without our written permission

5. Voluntary Participation and No Coercion

Earners freely choose which tasks, if any, they want to complete. Toritask does not force, pressure, coerce, or require any earner to accept or complete any task.

Earners are responsible for deciding whether a campaign is suitable for them, whether they want to associate their social media account with a campaign, and whether completing a task may affect their reputation, account, audience, contacts, or third-party platform standing.

Creators must not threaten, harass, mislead, pressure, or abuse earners. Earners must not threaten, extort, harass, or abuse creators. All users must interact respectfully and lawfully.

6. No Employment, Agency, Partnership, or Contractor Relationship

Using Toritask does not create an employment, agency, partnership, joint venture, franchise, contractor, subcontractor, representative, or fiduciary relationship between Toritask and any user.

Earners are independent users of the Platform. Toritask does not control how earners use their personal social media accounts, how they communicate, or whether they choose to complete any task.

7. Creator Responsibilities

Creators are solely responsible for campaigns they create, fund, submit, or promote through Toritask. By submitting a campaign, you represent and warrant that:

• you own or have the right to promote the content, profile, product, service, brand, link, or page included in the campaign;
• the campaign is lawful, truthful, non-misleading, and does not infringe any third-party rights;
• the campaign complies with applicable advertising, consumer protection, intellectual property, data protection, anti-fraud, and platform rules;
• the campaign does not require earners to break any law or third-party platform policy;
• all instructions, links, screenshots, hashtags, captions, and proof requirements are accurate and complete;
• you will not use Toritask to promote scams, illegal goods, impersonation, harassment, hate, misinformation, malware, or deceptive content.

Toritask may approve, reject, pause, edit, request changes to, or remove any campaign at its discretion, including after payment, where necessary to protect users, comply with law, prevent abuse, or protect the Platform.

8. Earner Responsibilities

Earners are solely responsible for the tasks they choose to perform, the proof they submit, and the behaviour of their own accounts. By accepting or completing a task, you agree that:

• you will complete tasks honestly and only through your own real accounts unless the task clearly permits otherwise;
• you will follow the stated task instructions and proof requirements;
• you will not use bots, scripts, fake accounts, engagement pods, farms, automation, edited screenshots, reused proof, or misleading proof;
• you will not submit proof for a task you did not complete or cannot reasonably verify;
• you will not harass, spam, defame, impersonate, threaten, or abuse anyone while completing tasks;
• you remain responsible for complying with the rules of Instagram, Facebook, TikTok, X, YouTube, WhatsApp, and any other third-party platform involved.

Some tasks may require content, comments, follows, stories, posts, shares, or statuses to remain live for a stated period. If you remove, reverse, hide, delete, or undo a task before the required period ends, the task may be rejected, reversed, or deducted from future rewards.

9. Campaign and Task Standards

Toritask may publish additional campaign rules, task quality rules, payout rules, pricing pages, acceptable use policies, creator guidelines, and earner guidelines. Those rules form part of these Terms.

Without limiting any other rule, users must not create, accept, or complete campaigns or tasks involving:

• illegal activity, fraud, scams, phishing, malware, hacking, impersonation, or stolen accounts;
• hate speech, tribal or ethnic incitement, harassment, violence, threats, doxxing, blackmail, or exploitation;
• adult sexual content, non-consensual intimate material, child exploitation, or sexually exploitative content;
• counterfeit goods, stolen goods, weapons, dangerous substances, controlled drugs, or regulated goods without required approval;
• misleading financial, investment, health, medical, religious, political, or public-interest claims;
• vote buying, voter intimidation, election misinformation, or unlawful political persuasion;
• content that violates another person's privacy, image rights, intellectual property rights, or contractual rights;
• spam, mass unsolicited messaging, fake reviews, fake ratings, misleading testimonials, or deceptive social proof;
• any task that instructs users to violate a third-party platform's rules or security systems.

Toritask may apply stricter rules to sensitive categories, including finance, health, religion, politics, gambling, alcohol, tobacco, dating, adult-oriented businesses, and regulated products or services.

10. Proof, Review, Moderation, and Reversals

All submitted tasks and proof are subject to review. Toritask may approve, reject, request additional proof, delay approval, reverse approval, or deduct rewards where we reasonably suspect fraud, poor quality, duplicate proof, policy violations, or incomplete task performance.

Toritask may use manual review, automated checks, metadata, device signals, account history, social media checks, creator feedback, and other reasonable verification methods. We do not guarantee that every fraudulent or low-quality task will be detected.

Moderation decisions are made to protect the Platform and may be final. Toritask may, but is not obligated to, provide an appeal process. Repeated rejected tasks, low-quality submissions, or suspicious activity may reduce account trust, limit task access, delay payouts, or lead to suspension or termination.

11. Payments, Fees, Rewards, and Payouts

Creators must fund campaigns before tasks become available, unless Toritask expressly allows otherwise. Campaign pricing, task pricing, platform fees, payment processing fees, payout fees, community contributions, taxes, and any other applicable charges will be displayed or referenced before payment where reasonably practicable.

Creators are responsible for ensuring they have sufficient rights and authority to use the payment method provided. Fraudulent, unauthorised, reversed, or disputed payments may result in campaign cancellation, account suspension, recovery of losses, and any other action available to Toritask under these Terms or applicable law.

Earners are eligible to receive rewards only for tasks approved by Toritask. Displayed rewards are not guaranteed until the task is completed, verified, approved, and cleared for payout under these Terms.

• Toritask may set minimum payout amounts, payout schedules, payout methods, verification requirements, and withdrawal limits.
• Payouts may be delayed or withheld while Toritask investigates fraud, abuse, chargebacks, identity issues, bank issues, payment processor issues, or legal compliance concerns.
• If a task approval is later found to be fraudulent, mistaken, reversed, charged back, or abusive, Toritask may reverse the reward, deduct it from future earnings, suspend payouts, or require repayment.
• Fees may be non-refundable once a campaign has been submitted, approved, started, or delivered, except where Toritask states otherwise or applicable law requires otherwise.

Toritask may change pricing, fees, payout rates, reward amounts, task categories, or campaign rules from time to time. Changes do not automatically affect already approved rewards unless fraud, abuse, mistake, chargeback, or policy violation is involved.

12. Toritask Is Not a Financial Institution

Toritask is not a bank, microfinance bank, payment institution, money transfer operator, remittance provider, investment platform, savings platform, wallet provider, fund manager, escrow provider, or deposit-taking institution.

Any campaign money processed through Toritask is collected solely to fund campaign execution, platform fees, payment processing, approved rewards, refunds, credits, compliance, and related operational purposes. Such amounts are not deposits, savings, loans, investments, stored-value accounts, e-money accounts, or custodial accounts held for users.

If the Platform displays a balance, earning record, pending reward, credit, account balance, or campaign balance, it is an internal ledger record for platform operations only. It is not a bank account, does not earn interest, is not insured, and may be adjusted for errors, refunds, chargebacks, fraud, compliance reviews, or these Terms.

Toritask may use third-party payment processors to collect and distribute payments. We are not responsible for delays, failed transfers, processor downtime, bank restrictions, incorrect bank details, reversal errors, or actions taken by payment providers, banks, card networks, regulators, or third-party platforms.

13. Refunds, Cancellations, and Chargebacks

Refunds and campaign credits are handled according to Toritask's refund and payout policies, if any, and the status of the campaign. Once tasks have started, been completed, approved, or paid out, funds allocated to those tasks may not be refundable.

If a creator files a chargeback, reverses a payment, disputes a payment, or otherwise causes Toritask to lose funds after tasks have been delivered or approved, Toritask may suspend the creator account, pause campaigns, recover fees or losses, and take other steps permitted by law and these Terms.

Toritask may cancel or pause campaigns where there are insufficient funds, policy concerns, fraud concerns, legal concerns, payment failures, or technical issues.

14. Taxes

Users are responsible for determining, reporting, and paying any taxes, duties, levies, charges, or statutory obligations arising from their use of Toritask, including income, withholding, value-added, sales, or other taxes where applicable. Toritask may withhold or report information where required by law.

15. Third-Party Platforms and Services

Many tasks may involve third-party platforms such as Instagram, Facebook, TikTok, X, YouTube, WhatsApp, payment processors, banks, hosting providers, or analytics services. Toritask is not affiliated with, endorsed by, sponsored by, or approved by those third-party platforms unless expressly stated in writing.

Users are solely responsible for complying with third-party platform rules. Toritask does not control third-party platforms and is not liable for account bans, content removals, shadow bans, reduced reach, lost followers, payment failures, account restrictions, API changes, outages, or any other third-party action or inaction.

16. User Content and Intellectual Property

Users retain ownership of their User Content. Toritask does not claim ownership of campaigns, task instructions, social media posts, proof, screenshots, business content, or promotional materials submitted by users.

By submitting User Content to Toritask, you grant Toritask a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, display, reproduce, process, moderate, adapt, transmit, analyze, and use that User Content solely for operating, improving, securing, marketing, enforcing, and supporting the Platform.

You represent that you have all rights necessary to submit your User Content and grant the licence above. You are responsible for any claims that your User Content infringes, defames, misleads, violates privacy, or otherwise harms another person or business.

All Toritask names, logos, designs, software, workflows, pricing structures, moderation systems, data, branding, and Platform materials belong to Toritask or its licensors. You may not copy, reverse engineer, scrape, resell, frame, clone, or misuse the Platform without written permission.

17. Privacy and Data Use

Toritask collects and processes personal information to operate the Platform, verify users, prevent fraud, process payments, review tasks, communicate with users, comply with law, and improve services. Our collection and use of personal information is described in our Privacy Policy, which should be read together with these Terms.

Users must not submit unnecessary personal data about other people in campaigns, proof, screenshots, or messages. Where proof includes third-party information, users should limit what they share and avoid exposing private information unless required for verification and lawful to share.

18. Communications

By using Toritask, you agree that we may contact you through email, SMS, WhatsApp, in-app notifications, push notifications, phone calls, or other reasonable channels for account, verification, transaction, campaign, fraud, support, product, and legal notices. You may opt out of non-essential marketing messages where available, but we may still send transactional or legal notices.

19. Platform Availability and Changes

Toritask is provided on an "as is" and "as available" basis. We may update, suspend, discontinue, restrict, or modify any part of the Platform, including campaigns, tasks, categories, pricing, proof requirements, payout methods, or user access, with or without notice.

We do not guarantee that the Platform will always be available, uninterrupted, secure, error-free, or compatible with every device, browser, bank, payment processor, or third-party platform.

20. Force Majeure

Toritask shall not be liable for delays, interruptions, failures, or inability to perform caused by events beyond its reasonable control, including natural disasters, strikes, war, terrorism, civil unrest, internet outages, cyberattacks, utility failures, government actions, epidemics, pandemics, payment processor failures, bank failures, hosting provider failures, or failures of third-party service providers.

21. Fraud Controls, Suspension, and Termination

Toritask may suspend, restrict, investigate, or terminate any account, campaign, task, payout, or access to the Platform where we reasonably believe that a user has violated these Terms, created risk, committed fraud, abused the Platform, submitted false information, violated law, or harmed another user or Toritask.

We may withhold or cancel rewards, reverse approvals, remove campaigns, lock funds, require additional verification, block devices, limit accounts, or report activity to payment processors, law enforcement, regulators, or affected third parties where appropriate.

Termination does not affect rights and obligations that reasonably survive termination, including payment obligations, fee obligations, intellectual property rights, disclaimers, indemnity, limitation of liability, dispute resolution, and enforcement rights.

22. User Interactions and Disputes

Toritask may provide tools for users to interact, but users remain responsible for their own conduct, statements, representations, promises, offers, and disputes. Toritask is not liable for the behaviour, omissions, content, promises, products, services, or actions of any creator, earner, advertiser, influencer, business, customer, or third party.

Toritask may help review a dispute or moderation issue, but we are not required to resolve every dispute and are not a court, arbitrator, regulator, employer, or guarantor of user conduct.

22. Disclaimer of Warranties

To the maximum extent permitted by law, Toritask disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, security, and suitability.

No advice, information, support message, campaign result, pricing estimate, approval, or communication from Toritask creates any warranty not expressly stated in these Terms.

23. No Guarantee of Marketing Results

Creators purchase access to promotional task opportunities and approved actions; they do not purchase guaranteed business outcomes. Toritask does not guarantee sales, customers, followers, viral reach, algorithmic boost, brand reputation, account growth, social media ranking, website traffic, conversions, revenue, or any specific marketing result.

Engagement quality, visibility, reach, platform algorithms, audience reaction, account safety, and commercial performance depend on many factors outside Toritask's control.

24. Limitation of Liability

To the maximum extent permitted by law, Toritask and its owners, directors, officers, employees, contractors, affiliates, partners, licensors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profit, revenue, goodwill, followers, accounts, data, business opportunity, reputation, or anticipated savings.

Toritask shall not be liable for user behaviour, third-party platform decisions, account bans, content removals, payment processor issues, bank failures, internet outages, campaign underperformance, rejected tasks, fraud by users, or disputes between users.

To the maximum extent permitted by law, Toritask's total aggregate liability for any claim arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) NGN 10,000 or (b) the platform fees actually paid to Toritask by the affected user in the three months immediately before the event giving rise to the claim. This cap does not limit liability that cannot lawfully be limited.

25. Indemnity

You agree to defend, indemnify, and hold harmless Toritask, its owners, directors, officers, employees, contractors, affiliates, partners, licensors, service providers, and agents from and against any claims, demands, actions, losses, liabilities, damages, fines, penalties, settlements, costs, and expenses, including reasonable legal fees, arising from or related to:

• your use or misuse of the Platform;
• your campaigns, tasks, proof, User Content, comments, posts, links, products, services, or promotions;
• your violation of these Terms or any Toritask policy;
• your violation of any law, regulation, court order, third-party platform rule, or payment processor rule;
• your infringement or alleged infringement of intellectual property, privacy, publicity, contractual, consumer, advertising, or other rights;
• fraud, false proof, fake engagement, duplicate accounts, automation, chargebacks, payment disputes, or tax issues caused by you;
• your interactions, disputes, representations, promises, or conduct involving other users or third parties;
• any claim that Toritask is responsible for a campaign you created, a task you chose to complete, or behaviour you engaged in voluntarily.

Toritask may control the defence of any indemnified claim, and you agree to cooperate with us. You must not settle any claim in a way that imposes liability, admission, or obligation on Toritask without our written consent.

26. Changes to These Terms

We may update these Terms from time to time. The updated version will be effective when posted or when we otherwise notify users, unless a later effective date is stated. Continued use of Toritask after updated Terms become effective means you accept the updated Terms.

27. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

Before starting any formal claim, you agree to first contact Toritask at support@toritask.com and give us a reasonable opportunity to resolve the issue informally. If the issue is not resolved within 30 days, disputes shall be submitted to the courts of competent jurisdiction in Lagos State, Nigeria, unless applicable law requires another forum.

28. Severability, Assignment, and Entire Agreement

If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect. Toritask may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or by operation of law. Users may not assign these Terms without Toritask's written permission.

Toritask may transfer these Terms and any associated user rights or obligations in connection with a merger, acquisition, restructuring, financing, sale of assets, or similar business transaction.

These Terms, together with referenced policies, constitute the entire agreement between you and Toritask regarding the Platform and supersede prior discussions or understandings about the Platform.

The provisions relating to payments, fees, taxes, intellectual property, privacy, disclaimers, indemnity, limitation of liability, dispute resolution, enforcement rights, and any other provisions that by their nature should survive termination shall survive termination of these Terms.
